OK, maybe I should have been more careful with the language - is it OK
to modify a PC to run Vista by providing dual boot Vista OEM and
previous XP version.

I answered that. Yes, you can dual boot Vista OEM and XP. Vista OEM cannot
do an upgrade so there is no licensing problem with having Vista OEM and XP
on the same system.
In other words its the PC that's being upgraded to have Vista as an OS
option rather than an upgrade of the existing OS.

This sentence is totally confusing. Assuming your asking the same question
as above, then the answer is the same.

Strange...
With my Windows Vista Home Premium System Builder Kit, while the option to
upgrade is grayed-out when I boot using the disk, it is NOT grayed-out when I
start it under Vista.

Could this be a boo-boo on Microsoft's part?
Or could it be the way Microsoft designed it?

Only the Shadow knows...

i like your post but i'm not sure it's complete. i've seen afew other
differences but am unable to find them again and verify or find an answer
here, so i'll post my input as a post when it is actually a question. of of
the diff.s also is that the retail dvd has every version of vista on it and
only the cd key determines what is installed. the reason is so the buyer can
buy an upgrade to the next level w/o having to acually buy another copy, even
at upgradecost, only paying the diff. between the 2. the oem only has the
version you pay for available on it, or so i am to understand. i'd like to
know if anyone else has a take on this.
