Help please, ASAP

Athlon 64 is 64 bit, XP is 32 bit, basically. No software as yet takes advantage of 64 bit, but there are other advantages.

If you want 64 bit, you'll need new motherboard, RAM & CPU. Don't get sidetracked, stick to what you have for now, unless you want to spend a little (a lot) more money.

I still think you'd be better off buying the Asrock mobo and XP3200 with heatsink for £119.00 and then selling the mobo.

When you say you're going to get another 512 of RAM, don't forget - you can't use your current memory with an XP3200 CPU. I've mentioned this a few times, as has Mucks. You'll have to buy PC3200 RAM to work with the XP3200, be it it 256, 512, or a gig. Are you clear on that?
 
Athlon XP = 32 Bit

Athlon 64 = 64 Bit

When windows comes out in its 64bit flavour, it will run twice as fast (theoretically) with the Athlon 64's (and with any other programs that are released in 64 bit)

Thats because it has more bits than the Athlon XP version...

If you see what i mean

edit: i forgot to mention that even in a 32bit environment, the 64bit ones run on average 20% faster in games

you would be far better off with the above mentioned stuff - there are usually compatibility and stability issues with generic RAM and it usually...well...sometimes ends in tears... well i mean you may end up having to return it and get a refund... etc etc...

Bottom line: pay the extra and get the brand named stuff.
