Yes, well there was a change to OEM EULA or OEM SB EULA within about a year.
So an SP1 EULA wouldn't reflect the changes. Here's a link to the PDF for
the Systems Builder OEM. Notice how the license is tied to a "fully
assembled computer system" i.e. mobo, cpu, power supply, harddrive and
case:

http://oem.microsoft.com/downloads/Public/sblicense/English_SB_License.pdf

and here's some explaination:

But I'm wondering what the actual OEM EULA the computer buyer looks at ..

I don't see anything there that says one cannot upgrade hardware.

I never agreed to the systems builder's EULA as I am not a systems
builder. I can only go on what I have and what I agreed to. In addition,
the proof is in the pudding and I have upgraded the motherboards on all
three of my computers with no problems whatsoever. They passed the WPA
and all the flavors of WGA.

Yes, I suspect the buyer looks at a different EULA than the system builder -
hense my confusion. And there was a change about a year ago, so one would
have to look at a buyer's WinXP SP2 OEM EULA to see what's current. You use
and agreed to an older EULA.

I just posted the Pro XP SP2 EULA from an official MS site to your other
thread. No motherboard is mentioned. In fact, I can't find *anything*
about upgrading hardware in it.
