Everytime I've run into that problem its either
1) A stubborn program, virus, or spyware application that is refusing
to close
or
2) Corrupt system file.
Have you tried running virus/spyware scanners, and check disk on your
drive? I would start there if not.
Next step would be programs that are running in the background.
Which version of windows do you have?

It could be some process trying to shut down, uncheck unnecessary item
from your startup list. Run a disk cleanup and defragment the system fo
a smoother boot and shutdown. check out the tips in this link
