XP Pro Upgrade License Question

I was looking into buying an XP Pro Upgrade package that the seller said had
been used, but was no longer installed on an active machine.
If they were lying, but I had possession of the CD, keycode and all the
other materials that come in the retail box, could I still register it with
MS ??

Register it, yes. Activate it; maybe. IF it's an OEM
version, then there are lots of "ifs" but if retail,
not so many. So; try it and see. Worst can happen is
you'll be refused the activation.

If it's been 120 days or more since it was activated then you should not
have a problem - full retail upgrade, not OEM.
