Do you know whether you have a legal copy of Windows? That will help determine whether this is a false positive or you need to purchase a legal copy. Your first action should be verify that you are using a genuine copy of Windows XP with a genuine product key. see http://www.microsoft.com/resources/howtotell/uk/default.mspx and try and validate there. Once you are running a genuine Windows XP and a valid key then SP2 will install without issue.
