WINMGMT.EXE error

Starting on monday i started to recevie a error saying
winmgmt.exe has incountered a error and will be shut down
by windows you will need to restart the program.This
happens every min. nothing new installed nothing changed
the only thing i can think of is i use a Network 10/100
and a 56 modem when i'm at work but don't think that would
do that.how can i stop that i need HELP!!

PS I'm also getting Event ID 7031

My OS is win2k pro i have sp4, Event ID is 7031
WMI servecis termanated unexpectedly it has done this 176
time and will be corrected in 60000 ms

The error message in windows is wimmgmt.exe has
incountered and error and will be shutdown by windows and
will need to be restarted.
