Windows XP will not shut down

When I try to shut down Windows XP Professional it will
give me an error message that windows is currently
working with a file and will not shut down. I have to
hold the power button until it shuts down. I have checked
Task Manager and nothing is running under applications or
processes. Can anyone help?
 
Does it say what file Windows is working with when it refuses to shut down?

This happened to me when the "You have been disconnected
from the Internet" box was up. I had to check NO to close
it and then was able to shut down with no problem.
