Windows XP VCACHE error

I am trying to install windows XP home edition upgrade
(currently windows ME). My computer is a Gateway
Performance 1300 P4. I have de-installed Norton and the
CDcreater stuff. I have 640mb of RAM. I get thru all the
system analysis and the file copy but at the completion of
the file copy I get the following blue screen error:

File Name: VCACHE (01) + 00000E4D Error : 0028 : C004E459

The memory configuration is 4 DIMMS 1&2 are 64mb and 3&4
are 256mb. I ran the memory Diag program from MS Support
and DIMM 4 failed the first time but passed the second
time. Is this a memory problem? Anyone have any ideas?
