If i upgrade to windows xp will i lose all my software and
personal files.. im upgrading from windows ME>>

Usually no. However, if the upgrade fails for some reason you may no
longer be able to run any Windows installation on this computer unless
you clean-install Windows ME or Windows XP afterwards. Therefore you
may want to backup as much data as possible before you start.
