Windows won't start

Today I bought a new power source, processor and motherboard. I go the guys at the store put the processor onto the motherboard for me so this shouldn't be the problem and the powersource is working right now with the old stuff so.... The problem will most likely be the motherboard.

When I start up my computer the screen stays blank (the green power button on the monitor blinks green). My HD tries to read info (i think) every min or so. If I have a cd in the cd rom every 30 seconds about I get 2 beeps, a pause and then 5 beeps. That's it.

Intel's site suggested it is a RAM problem. The guys at the store said the one stick or RAM I brought with me as a confirmation should do just fine with all the new stuff. I have 3 sticks or completely different RAM and I tried all 3 individually and in pairs and got the same results.

Someone has said to "Perform an In-Place Upgrade of Windows XP" but how would I do this or how would it work if nothing will load at all? Here's the info for the new stuff I bought ... I'm running on XP Hom

Motherboard: D865PERLX ATX P4 800/533MHZ FSB - Inte

Processor: P4 mPGA478 2.40C GHZ 512KB 800MHZ FSB - Inte

Power Supply: 300W ATX PS

Hopefully I can get some feedback by tomorrow so I can get this all fixed up. Thanks in advance.
 
Does your power supply have the square 4 pin power connector required for
the Pentium 4 processors. The older ATX power supplies lack this extra
connector to motherboard. What is your video card? Can you enter BIOS setup
by holding Delete key? To eliminate other possibilities, try unplugging IDE
and floppy cables and all cards but video card. Test with only RAM and video
card. Sometimes the standoff's that motherboard attach to will short circuit
motherbord at bottom. Sometimes you just get a bad motherboard.
