Windows host process (Rundll32) has stopped working

I've been getting this message repeatedly since I installed Vista Ultimate,
The Problems and Reports service tells me that it caused by the Video Codec
in Nero 7.
Two questions:
1. What is Rundll32 and what are the consequences of it not working?
2. Can it only be corrected by uninstalling Nero 7?

The file rundll32 is a very common process used by Windows even in
earlier versions of Windows going way back. It is a multipurpose
"assist" file that many application use to do some tasks. If you open
Task Manager you'll see it, sometimes more than one instance of it
running in the processes tab. The file is part of the Windows OS
system and should not be deleted.

If you don't actually see problems with Nero I wouldn't worry about
it.
 
Getting rid of Nero or upgrading does not remove the problem! I get this damn thing popping up all the time.

I use a tabbed browser (iRider) and get it when swopping between tabs for the first time so if I close the browser and reopen and swop tabs up it comes again!

Driving me potty!
