Depends on exactly what you mean by "upgrade". The term is sometimes
ambiguous. :^{
Formatting, of course, wipes out the prior operating system, so you can't
"upgrade" in the sense of replacing ONLY Windows while leaving your
installed device drivers and applications in place and migrating them to
WinXP. When you boot from the WinXP CD-ROM, one of the first options is to
repartition and/or reformat the hard drive.
You'll have to choose between (a) "upgrade" from Win2K to WinXP and (b) a
clean install of WinXP. If you clean install, you'll have to backup your
data first, install WinXP (Setup will start with reformatting), then
reinstall your applications from their original media and restore your data.
In either case, you can start by booting from the WinXP CD-ROM and following
the prompts.
