WIN2K Pro frequent lockups

Hello, got three exact new systems:

ASUS P4C800-E, 1 gig Kinston PC800 DDR ram, P4 3.2Ghz,
Western digital 120GB STAT HD, 400watt PS. ATI 9200 AGP
w/128mb ram, no fan on video card. 3 fans in system.

Service pack 4 with all updates.

The problem: random siezing of OS, everything will grind
to a halt, everything moves very, very slowly. Windows
explore will stop responding, have to right click and try
to close windows, then have to reboot. Happens very
intermittendly, somedays lots, somedays not much. I
replaced motherboard on one of the systems (Intel D875PBZ)
same issue, ran Microsofts MEM tester, found no problems?

Could it be the video card?

You can use Task Manager|Processes tab to see what process is consuming the
mem/ cpu.
