Need to hook up direct connection to modulator to program
it using crossover. Have tried statically assigning the
correct IP/Subnet/Gateway, but connection is flaky.
Switches from connected to cable unplugged constantly.
Crossover works when direct connected to 98 machine. Any
clues?

Don't use a default gateway on the connection. Just make sure that both
devices are configured to use IP addresses in the same network / subnet
(but different from any other network interface installed in the machine).
You may also want to try changing the configuration of the network adapter
to use a lower speed / duplex setting (10mbs-half duplex instead of
100mbs-full).
