Win2k causing frequent dial-ups

We have a samll peer-to-peer network - 4 machines- that
use a LAN Modem for Internet connection.
One PC - a W2k machine - causes the modem to dial-up
immediatley on start-up and frequently thereafter. Why?
How can I stop it?
The LAN modem does the NAT.
