I am using the latest SP on win2k pro.

Problem first showed itself in shutdown, which either
hangs up trying to end a task (task differs depending on
whats running, but usually this is either the AOL dialer
(AOLdial.exe), or ccapp.exe (associated with Symantec
Norton AV 2004).

But now the problem is worse in as much as applications
are stalling/hanging such as Windows explorer, COntrol
Panel, or other depending upon mood !!.
Symptoms include slow running, lockups etc.

I have downloaded a program which cleans registry, loads
of errors (fixed), but no cure.
I have de-installed some software, this usually results on
slowdown/hangup on some other application.
Task Manager shows 90%+ idle time.
There are 47 tasks running
Application section usually shows zero applications
running.

Help.... I really do not want to rebuild this system
again..

47 seems high for your regular everyday system. Try looking these processes
up (Google it) and see which ones are spyware, virus, or other questionable
(or simply unnecessary) programs, and disable them. Use either the program
uninstaller (Add/Remove Programs, which you seem to be familiar with :), a
spyware/virus remover (such as AdAware and Trend's HouseCall), REGEDIT
(HKLM\Software\Microsoft\Windows\CurrentVersion\Run) or (HKCU\....\Run), or
Start->Run->services.msc to disable the services.

Before letting 'em into regedit, I prefer to make 'em download and run startup.cpl.
It breaks down the progs into different sections of the registry by tabs and, unlike
regedit, it will let you enable or disable or delete the entry. Makes for a nice
failsafe as too many people use slash and burn tactics in regedit.
