It's a longshot, but have you installed the MS Hotfix MS04-011
(KB835732) on your system? (Released April 13th)

The hotfix is buggy and has caused problems for a lot of people. The
reason I mention it is that with that hotfix, Seagate Seatools Online
will crash when I try to load it. (Null pointer access violation)

offers no info that might help the problem. After each bad install I've
uninstalled the software. Is this software incompatible with SP-1? WD's
website listed the software as being compatible with WinXP though it made no
mention about NTFS formatted hard-drives (all my partitions are NTFS
formatted, and were prepared using the WinXP CD under Setup). My interest
in the Data Lifeguard tools is purely for disk scan utilities included, but
I don't know what it includes in the way of function. So far all my drives
are under 137gig, but I plan on eventually getting a big drive to replace my
smallest drives; I've already prepped my WinXP SP-1 Registry (the Enable Big
LBA key has been added disabled until I get the drive to add for additional
storage space) and my bios is compatible also, so I don't know if the
software offers any advantage above what I've already done in preparation.
When I get around to getting the new big drive it will probably be a bare
drive with no included software.

I gave up on the Windows version - the DOS version is pretty smooth.

I did install a MS Atapi.sys update to get up to the correct release level
(only updated that file to a newer release for compatibility) and the Update
Rollup 1 (KB826939) along with all Critical Updates. If it was offered in
one of the lists of Critical Updates I downloaded I probably installed it.
If it hurt Seagate's Tools maybe it fouls up Western Digitals Tools also.

I also have the Dos release of the Data Lifeguard V-11. Will it function
with NTFS formatted disks (which dos or Win9x don't recognize) for analysis?
I wouldn't want to use it to prepare a drive since it would format in Fat-32
rather than NTFS. I guess my only choice is to use the Control Panel /
Administrative Tools / Computer Management / Disk Management for
partitioning and formatting the new drive. I guess I could use the Dos
tools if I ever needed to write Zeroes for a drive wipe, though I don't
recall what other functions it included.

Well, you can look in Add/Remove Programs in the control panel to see.
(and remove it if you like)
