w2k to xp pro sp2, do i have the right software?

I have a computer with Windows 2000 Pro and wish to do an in place upgrade to
Windows XP Pro.

I bought a full retail version of windows xp pro sp2 (version 2002 with
service pack 2) from anazon.com but the box says "for pcs with windows 95 or
earlier , or pcs without windows" .

Will this work as an upgrade? I don't really want to do a clean install.

That should work. The "For PCs with Windows 95 or earlier, or PCs
without Windows" text is on full retail boxed versions.

Thanks, I was afraid to open the box just in case I had to return it.

I hope I do not need the original w2k disks at all.

I only have a cd with an image of the computer in its virgin state wich does
not have all the upgrades and additional software I have added over the years.

I also do not have any code keys, etc., will I have any problems doing an
upgrade without this stuff?

The full retail version will upgrade or install cleanly without needing
the Windows 2000 cd or key. Even though you don't have a Windows 2000
CD you might still want to find and record the key for your Windows 2000
licence.
