W2K Professional Services.exe -Shutdown

When I attempt to start comm with the network, I will
intermittently get "Services.exe Terminated Unexpectedly
with Status Code 128" error message that automatically
starts a non-stoppable 60 sec. countdown to a reboot.
I have a W2K Professional 5.00.2195 service pack 4, 800
MHZ, 512 meg ram, laptop.

Any advice? Kevin
