w2k bootup hangs at services.exe. Processor@100% for five min

w2k bootup hangs at services.exe. Processor@100% for five
minutes.
It has been this way since its installation.
800Mhz. lots of memory. .
unless internet is interupted then services exe hangs
again. otherwise all else works well.
Kinda makes it a pain to do any networking. Any comments?
