Can I install Vista Upgrade as a 'clean install' without previously installed
XP on the HD or do I have to have XP already installed on the machine?

Hi,

The commonly used workaround is to install without using the Product key the
first time. This will allow you to do a clean install, make sure that you
choose the version you actually own a key for. Then run an upgrade from
within the freshly installed OS and use the Product key. Basically you
install twice.
