Vista Upgrade/Full

This is a somewhat simple question, but I've been unable to find an answer
and I've been searching for a while.

Vista is overpriced, and I really do not want to pay for the full version of
Home Premium (or any other version.) Microsoft claims you can purchase the
Vista Home Premium upgrade for like $160.

So, you need to have an older version of Windows to get the upgrade to work.
Does OEM count? Because I have Windows XP MCE OEM (Dell) on my laptop and
that is what I wish to upgrade. Well, my intention is a clean install but put
in the cd I got from Dell and run the upgrade.

Am I okay to purchase the upgrade version instead of full?

You might run into a space problem since my understanding is that the CD
will no longer qualify, it must be an installed and activated system, so you
would need another partition to clean install to. Just a caution at this
point but it was made by a Microsoft employee.

THX for this warning - I understand that it would be wise to wait
before any Vista purchase until questions like the qualifying upgrade
media are answered definitely.
