You can run the upgrade to Ultimate 64 Upgrade version from
32 bit Vista, but it would be a clean install. You could install
it in a clean partition, or in the 32 bit partition where it would
remove and replace the existing installation. You would have
to reinstall applications. It would save the Vista 32 installation
in a directory in case you later wish to revert.
