Vista Home Basic Upgrade Setup Freezes after entering Product Key

I have a problem. I am trying to do the upgrade to Windows Vista from Windows
XP Service Pack 2. I get to the part where I have to enter my Product Key.
Ok. Thats Cool. After I click it. Nothing is happening. When I hit Control ,
Alt and Delete to bring up the task manager I see 2 setup.exe processes
running, one of which is running at 99% CPU usage. What can I do to resolve
this issue?

I am using a Dell Dimension E521 Desktop System featuring an AMD Sempron
3400+ Processor.

Are you connected to the Internet when doing this upgrade ?
Vista needs to be able to verify your KEY.

To assist we will need

Your system stats, HDD type, size etc
Version of Xp
Messages from Task Manager. What 2
exe's were running, etc.
Did you disable any AV programs, etc ?
What did Upgrade Advisor say "

I don't think that Setup needs an Internet connection to validate the
product key.
 
Well.... I got frustrated. So I did a format. Installed XP Home. And then
used the Vista Upgrade. Went fine.

You win some, you lose some.
