Virtual machhine update kills 2000

I ran the windows update and it had 13 crit updates did
the install, on install it gave a stop error stating that
the VM components you are trying to update can only be
updated in later versions of windows. On reboot system
crashes out of loading windows even on safe boot. I ran
ERD and it replaced 25 files (i can list if needed). This
got me back up but it happened again when it tried to
update windows and I had to go thorugh Emergency Repair
again.
Cavats are that I boot W2K off the d: drive as c: is XP -
no multi boot.ini each disk is seperate install with
single boot.ini lood and I switch OS's by swaping the boot
drive order in bio's - all XP files and programs on c: and
all W2K Pro files and programs on D: so I don't think its
a issue.
 
I looked at the VM update notes - I am running W2K Pro SP4
VM is version 5.00.3229 (reported from CMD Prompt jview) -
every time I let the MS update service install the VM
update - bam it fails saying I have a newer version and
cannot update. (stop error) then on reboot I have to dig
out the ERD let it do its thing and then reinstall the SP4
patch.

Looking for a little help from anyone?
