This depends on what version of XP you have and what version of Vista you
want to go to.
The full and upgrade versions do the same things. The only difference is
for the full version XP does not need to be installed to install Vista. To
use the upgrade edition XP must be installed. Either can do a custom
install where no data or applications are carried over, and either can in
some cases do an in place upgrade where installed apps, data and settings
are retained.
Look through the many posts in this newsgroup for all the info you could
ever want on how to do the upgrade.
See the first link below for info on the various upgrade paths (from what XP
version to what Vista version, and whether it can do an in place upgrade or
only a custom install.

Some programs are incompatible with Vista. Run the Vista upgrade Advisor to
see what might not be compatible. You must uninstall any AV programs, 3rd
party firewalls, CD burning programs like Roxio and Nero, and any other
system level utilities (like Tweakui and Partition Magic) and programs that
use drivers.
