You helped me this far and now, noone is responding???

Forgive me if I'm using Newsgroup incorrectly because I am
new to NEWSGROUP. In fact, I've never used them before now
(7/27).

Here is my response to your prior assistance:
I am positive that Licensing services was/is installed via
the path you show. This was done at time this server was
converted to TS; AND, it has been done subsequent to that.
But subsequent installs have not changed the TS Licensing
error message gotten when I open the panel to register TS.
Is there anything else you can think of that is either a
cause or a resolution of this problem.

Sounds as if you have 2 problems:
(1) EventID 202 clearly states that you are short of "normal" server CALs.
You'll have to buy more CALs (is this server configured "per server"?)
(2) Regarding the TS Licensing: Are you sure that you have installed TS
Licensing Services (Control Panel - Add/Remove programs - Add Windows
component)?

George, sorry, I must have missed your reply.

With "subsequent installs of the LS", I assume you mean that you
have tried to solve the problem by uninstalling and re-installing
the LS? I am also unsure what you mean by "register the TS".

I've really no idea what's going on here, except that I am
generally *very* unhappy with upgrading a server from one OS to
another. I do only fresh installs.

The only KB article that comes somewhere near your problem is

From what Vera said, did you install more CALs (not
TSCALs) on your server from the licensing control panel?

When you try to administer the terminal services licensing
service, can you manually browse to the license server to
find it? Have you tried hard coding the name of the
license server into the registry of the terminal server?

Hold the presses....Found the problem.
License server service was NOT started. After starting it,
all expected behavior occurs. And , I am now able to call
Microsoft to activate this TS.
