Upgrading to Vista Ultimate x64 version

I am currently running XP Pro x64 SP2. I have a copy of Vista Ultimate x64
and want to do an Upgrade.

The problem is the installation says that a clean install is only possible.
Any ideas why?

Here is my motherboard stats
Motherboard description Motherboard manufacturer's name: Asus A8N-LA
HP/Compaq name: Nagami-GL8E

CPU/Processor Socket: 939
AMD Athlon 64 X2 processor

Yes. The x64 install program is 64-bit so it won't run on your 32-bit XP.
You'll have to do a clean install.

You cannot perform an upgrade using the x64 products thay have to be clean
installed.
