upgraded motherboard, xp wont start

My mother board crashed and I replaced it with a pentium 4
2.4 ghz (different from the previous pentium 3 1 ghz).
Now XP wont start and the start up disk doesn't do much
either. I get a black screen that says windows did not
start successfully , a recent hardware or software change
might have caused this and so on and gives some options:
safe mode, safe mode with command prompt and last known
good configuration. I tried every single option and it
just comes back to the same screen. The BIOS is set to
boot from the floppy first and nothing seems to work. I
have read different columns that suggest a repair option
(in-place upgrade) but like I said the CD wont start. I
have precious data on my hard drive and I would definitely
NOT want to lose it. Any suggestions?

Unless the new motherboard is virtually identical to the old one
(same chipset, same IDE controllers, same BIOS version, etc.), you'll
need to perform a repair (a.k.a. in-place upgrade) installation, at
the very least:

As always when undertaking such a significant change, back up any
important data before starting.

This will also require re-activation. If it's been more than 120
days since you last activated that specific Product Key, you'll most
likely be able to activate via the internet without problem. If it's
been less, you might have to make a 5 minute phone call.

Why? I mean why are you trying to boot from the floppy when you have the XP
CD? Read the repair install instructions again and try setting the BIOS to
boot from the CD drive first.

and that didn't work either. Same black screen with the
options to start in safe mode.
 
Ok

In that case I'd look at the connecting cable. Reconnect the cable, swap it
for another if possible. And, if you can, double check the drive by trying
it in another system.

If your computer has a "splash" screen displayed before Windows starts to
boot, you're missing an important detail with regard to booting to your
CD-ROM drive.

There will be a message at the bottom of the screen, just before Windows
starts to boot, that says, in effect, to press a key on the keyboard to boot
from the CD. If you don't press a key in the allotted time, your computer
will then proceed to the next boot device which, in your case, appears to be
your hard disk.

If you have a splash screen displaying, check in your BIOS for an option to
turn it off.

In any event, watch for a message telling you to press a key to boot from
your CD-ROM.

Jef, I dont even get that prompt. It says CDROM is
booting and then it goes back to the original black screen
with the options.

Hmmmmm.....where exactly did you get your XP CD? What you say is
happening happens to me if a non-bootable CD is in the drive when the
computer boots. If a bootable CD is in there it gives me 3 to 5
seconds to hit any key to start the CD boot sequence.

Since the XP CD is bootable, and yours doesn't appear to be, I ask
again.......where exactly did you get your XP CD?

Set the BIOS to boot CD before Hard disk, then boot the XP CD, start
Setup (do not take 'Repair' at this stage), then after the license
agreement take 'Repair Installation'. This will retain your existing
software installations and most settings. But Updates will have to be
run again, especially SP1; and if you have drivers that only arrived
with that, like USB 2 ones, you will need to update drivers for the
devices concerned.

But it will rebuild the underlying hardware interfaces to match the new
board. You may find on booting that it will not go beyond Safe mode
until you have re-activated by phoning the toll free number given. This
is not a major hassle, but be prepared for it
