Upgrade Vs Full Version

I a running Windows 98 and am considering Windows XP
Professional. My question is, what is the pros and cons
of the upgrade vs the full version. I know I will need
old versions to upgrade, but is the full version more
complete? or a better choice?
 
Both versions are identical except the upgrade version will
require proof of a previous Microsoft Windows installation CD
before performing a "clean install".
