Is there a version or Professional that will NOT upgrade Home Edition?

I see some people selling an OEM version of XP Pro. Do I have to strictly
get an Upgrade?

OEM will not do inplace upgrade. You must do a fresh install. If you want
XP Pro on top of your existing Home version, you'll need the retail Upgrade
CD.

Yes. The OEM version will not. The OEM version can not be used
for any kind of upgrade--clean installations only.

You can use either the upgrade version or the full version, but
not the OEM version. Since the upgrade version is cheaper than
the full version, that's what you should buy.

OEM ones will only do clean installs, not upgrades at all. Nor may they
later be transferred on to a different machine. Get the regular Pro
Upgrade - if you *really* need Pro. Unless you have identified a
facility that is supported in Pro only, save your money
