Yes. That's a valid upgrade path. With a retail XP Pro upgrade CD, you can
upgrade your Win2000 installation or perform a clean install of XP Pro.
During an upgrade install, the setup routine will see the existing Win2000
on the hard drive. If you opt to perform a clean install, you will be asked
during the process to present your Win2000 CD. Insert the Win2000 disk into
the CDrom drive when prompted to do so. After the check is complete,
replace it with the XP CD to continue the installation.
