Upgrade from 32 to 64 vista ultimate

I've installed Vista 32 Ultimate and I'm happy with it. My question is, if I
upgrade to the 64 bit version that came with my purchase, will I have to
re-activate it? If so, will I also have to pay for it? This might sound
silly but I'd hate to upgrade and find out later I have to pay to access all
the features or loose access to data. My system will handle 64 fine, Duel
Core 6600 2.4, sli mb with 2 7950 gt vid cards, 4 gigs of ram but only 2.5
being used hence the reason for upgrade.
 
You have a retail copy; both disks included.
Going from 32bit to 64bit, and in reverse, requires a clean install.

So, back up all your Data, and have the media to reinstall other Programs
like, Office, etc, as they have to be reinstalled

You have paid for both versions being full retail, not OEM.
You will have to re-activate.
