I have a small network of about 35 Pcs, running one WIN
2K DC with Ad, also acting as file and print server, two
Terminal servers. Most of my PCs are win2k, with roaming
profiles, some are WIN98.

I am ready to Install a new server. I would like to make
it the new Dc and hold AD, printing and files. Older one
will be retired. I am unsure how I can achieve this
without having to manually setup each user and their
profiles etc. Please also advise on the computer name
after all this, as my batch files and printiers etc point
to this computer's name.

Thank you very much in advance.

No need to setup each user and computer Ali. You must:
1. install new server and then make it as domain controller of the existing
domain using dcpromo process.
2. After you install this server as domain controller, all active directory
data will be replicated to the new server
3. Install and configure DNS server and point your clients and servers to
this DNS.
4. Make new server as global catalog server
3. Now you can start moving your services to the new server
4. If you copy roaming profiles, make sure, that you update your users
roaming profiles information in active directory
5. If you plan to decommission the old server, you will have to transfer all
operations master roles (FSMO) to the new server.See
http://support.microsoft.com/default.aspx?scid=kb;en-us;255504 on how to do
that (remember you have to transfer not seize roles).
6. Transfer all remaining services from old server (DHCP, WINS, ......)

Now you can run dcpromo on the old server to remove active directory. After
that disconnect the server from the network. If you see no problems, you can
remove the server.
