Do you taxes first. While most basic XP apps run fine, there's no guarantee.

Never put any XP utility or security products on on the Vista machine. Vista
is not XP.

Thanks for all the help and support.

I will do all that has been posted and perform the UPGRADE to Vista Business
carefully.

One last question - does anyone know if I would have a problem with Intuit
Tax software? I trying to decide whether or not to do the upgrade now or
wait until my Business and Personal Taxes are filed?

I had no trouble with TurboTax on Vista Ultimate EXCEPT it wouldn't import
from Quicken 2005. Since I'm having problems with Quicken on Vista, my
guess is that's a Quicken problem and not a TurboTax problem. If you're
entering the data into TurboTax manually, no problem. If you need to
import, problem. Regardless, I wouldn't do anything just before doing your
taxes. Do the taxes first, make 3,141,592 different backups and then do the
upgrade.
