Upgade xp from w98,lsass problem

Upon finishing the upgrade installation, the computer
shuts down after about 3 minutes, giving an error message
of "sys32/lsass.exe 1073741819" How do I fix it, the
computer won't stay on long enough to ask the microsoft
site. This is my work computer, I'm trying to fix my home
computer.

To stop the shut down problem
Start>Run>(type) cmd>(type) shutdown -a>Enter (notice the space)

Do not connect to the internet without first enabling ICF
