unknown exception 0x0eedfade

Background: I am running windows XP Pro SP2 and window update report no
available updates, so I am assuming I have a completly updated OS. AVG free
is always running, and was installed ages prior to this problem surfacing. MS
Office 2002 recently installed curtousy of HUP.

The Problem: after using IE for any period of time visiting various sites
(there does not appear to be any particular rhyme or reason), I get the
following msg in a modal dialog box after closing IE: "The exception unknown
software exception (0x0eedfade) has occurred at location 0x7e81eb33." I can
then either click on OK or Cancel.

Clicking on either leaves the OS apparently hung--or at least no access to
taskbar, etc. The only other recourse is to shut down the system and reboot.
This, however, does not clear the error and the error persists with great
regularity. Thus, closing IE has become an action of last resort. We are on
the brink of wiping out the OS and starting from scratch ... a drastic, but
perhaps, necessary evil.

Any help the community could provide would be most appreciated.

Note that AdAware and SpyBot S & D will each catch some things the other
won't. Also, each needs to be updated with the program's update function
before every use, even when just downloaded. There's also a lot more to do
than just those two programs. CWShredder is also available here:
