Under utilized W2KAS - insitu conversion to W2KS or Windows 2003 ?

We have an underutilzed W2K AS system with a number of IIS 5.0 including
FTP applications. The system is a stand-alone computer and NO other other
features are being used ie: NO DNS server, clustering, etc etc. It is
essentially only used as an IIS system with a few custom DLL's and MySQL
etc.

As this is a waste of an expensive OS, is it possible to Migrate the IIS5
installation (using "an in-place upgrade / downgrade") to a STANDARD version
of W2KS or even Windows 2003 Server Web Standad Edition or Web Edition. It
would be very traumatic to reinstall all the web applications.

Any advice will be welcome

I don't believe any of those upgrade paths are supported.
