trying to load new OS

Can some one show me how to load new OS to a laptop that
has a password. The laptop is one of the ones that has no
Floppy and cd rom. I would hate to throw it away....

If the problem is the password, it depends what password you mention. If
it is not related with the OS, open the laptop and try to find the RTC
chip or a small battery. If you are unsure what chip to find, try to
inform yourself about RTC chips in general first. You have to shortcut
the battery to erase the CMOS-RAM.
Sometimes there is also a "secret" key combination to erase the CMOS RAM.

If the password is related with the installed OS, and you have no I/O
like Floppy or CD-ROM, you have only a small chance to boot via network
if this is supported from the BIOS (via bootp from a bootp server), to
get access to the local harddisk. Or you just take the harddisk out of
the laptop and connect it as a second drive to an other PC.

Laptops without a floppy or a CD drive are less likely to be stolen. They
are usually sold to corporations. See your system administrator if this
machine is, in fact, legal!
