Trouble connecting W98 to W2K in p2p setting

I apologize in advance if this is a proble that keeps cropping up, however browse around only produced half of the answer I needed. I have upgraded a workstation to WK-Pro. The other two workstations in the workgroup are both W98SE. I have synch'ed the username/passwords in order to log on to the W2K machine however I get a "Not enough memory is avaiable. Quit some programs." error when trying to connect to the shared resources on the W2K machine.

I have installed all the latest service paks and updates on all three machines. I've tried using Netbeui & IPX, IP is set up to get addresses from the DHCP router on our DSL circuit. I have the feeling that I'm overlooking something simple, but for the life of me I just can't figure out what it is.

It is taking about memory resources on the 98 machines. It is saying
you have too many programs running.
