Transfering OSs

I have a Dell XP Home CD and Key, I am building a custom computer and I am
wondering if I deactivate the dell, I can use he Dell key in the new
computer. Is this possible?
 
Not according to the EULA. The Dell came with an OEM version of Windows. OEM
versions are tied to the first computer they are installed on and are not
transferable to another computer.
 
But will it work?

No, because it will not never activate since it must
be installed on a system having a Dell motherboard.

Not legtimately, although it may work. Your Dell computer has an OEM
license for WinXP. An OEM version must be sold with a piece of hardware
(normally a motherboard or hard drive, if not an entire PC) and is
_permanently_ bound to the first PC on which it's installed. An OEM
license, once installed, is not legally transferable to another computer
under _any_ circumstances.

Some time ago, Microsoft disabled the CDs/Product Keys from most major
OEMs from activating via the Internet. This was in response to the
large number of the branded OEM CDs being illegally (without the
computer) resold vis eBay, computer fairs, etc., and people doing as you
plan. All you need do to successfully breach the EULA contract is to
call the telephone activation center and lie about the reason you're
reactivating.

Possibly. Some Dells have a BIOS locked OS, some don't. Even if it works
there will be problems activating it. Even if it is activated it is still
against the terms of the license.
