Transfer XP Pro to new HD

Ok,
I have a laptop with a bad hard drive. Manufacturer sent
me a new hard drive but now I have to figure out how to
transfer the os and all data to new Hard drive.
Manufacturer doesn't assist with disk dupe utilities. I
have extracted sysprep from XP cd but not sure what
options to use with it so I don't mess up the
activation.. I plan to use Ghost to make a disk image
once I figure out the correct sysprep options to use.
The current install was already activated and if possible
I'd like to avoid hassles with Microsoft trying to
reactivate. Anyone have experience/ideas on this?
