taskmgr.exe - application error . the application failed tointialize properly (0x0000005)

whenver i try to run taskmgr.exe i get this error that after using CTRL+DEL to pop up the contro panel i'm using win2k with sp4..
the application failed to intialize properly (0x0000005). click ok to terminate
