I am unable to open the task manager with Ctrl-Alt-Del or
right clicking on the task bar.

Some times the task manager will open for a split second
and close. Other times I will only see an icon in the
task bar, but most of the time nothing happens.

I fixed this same problem last night on my pc...
The w32_SpyBot.worm virus was on my PC.
I purchased Norton AntiVirus and the Install Guide
suggested I go to their site to check for viruses that
would hamper installation of NortonAntiVirus...tools at
that site found the SpyBot Virus. Norton's normal site
has a SEARCH menu item that will find directions for
removing the SPYBOT virus at the following URL:
http://securityresponse.symantec.com/avcenter/venc/data/w32
..spybot.worm.html
It was also suggested that the W32Kelz and/or W32Yaha
virus (2 removal tools) would also cause the same symptoms.

Good Luck.

Try Shift-Alt-del. that should also bring up the task
manager. u might also want to try replacing taskmgr.exe
in the system32 directory with a new one from another
computer or your WinXP CD

It's a virus-type animal of some description. Run a good antivirus program. A
friend recently had this problem with IRC Trojan.
