Task Manager not working and other issues ( HELP)

When ever I CTRL + ALT + DEL , Taskmanager comes up for a
spilt second then dissapears before I can use or review
it. I get the same result from trying to bring up the
taskmanager from the task bar.

Also I have noticed when starting or rebooting the
computer that I get Cannot run TFTPxxx messege.

Lastly, on occassion i get an Insert disk in drive
messege when I'm not using any applications that would
require a disk.

I've run a virus scan /disk clean up / and defragmented
No Viruses found and others did not work either HELP!
