status code 1073741819 shut down in 55 seconds.

i originally had windows 2000 pro..or nt whatever i
upgraded to xp pro .. a week later this message pops up
and shuts me down... and days later i can get to my
desktop but thats it it wont let me do any thing ... can
anyone help
