ok got this msg so bought a new cpu.. & still same msg.
where can I go from here???? do I have to get a new board?

First of all, it would really have helped a lot, if you
stated what motherboard this is, and what type of
processor it is.
The Asus Voice Post system is powered by a separate chip,
and voice messages can be delivered without a processor
in the system.
The first message "No CPU Installed", is detected I think,
by some pin being pulled down by an installed processor.
You got past that test.
The "System Failed CPU Test" and "System Failed Memory Test"
are implemented by a timer in the Voice Post chip timing
out waiting for the processor to clear the timer. So these
are simple timed events, and anything that prevents the
processor from getting into the Voice Post chip at the
appropriate moment, could cause one of those two messages
to be generated. So, for example, some people successfully
boot their computer every day, and yet they hear the
"System Failed CPU Test" message (erroneously).
The other Voice Post messages are probably coordinated by
the processor in a more direct fashion (processor selects
the message to be played).
My guess is, you have failed to connect the 2x2 +12V power
cable from your "P4 ready" power supply, to your motherboard.
Without the 2x2 power connector and the 20 pin ATX power
connector both being connected, the computer cannot boot.
