Stop Error in ntoskrnl.exe after installing Audible.com Manager

I just downloaded the Audible.com Audible Manager for my
Windows 2000 laptop. I had this on an older laptop
running Win2K with no problems. I've loaded this one
twice and both times get the blue screen on boot with a
Stop Error:

KMODE_EXCEPTION_NOT_HANDLED. Address 8041FB81 Base at
DatStamp 3ee6c002 - ntoskrnl.exe.

I've tried safe mode and it does the same thing. The blue
screen come up right after the Win2K spash screen
completes and it will not go any farther.

Ideas? I'm running a Dell M600 laptop.

You will need to replace the ntoskrnl.exe file with a
known good one.
