Special permissions; what to do?

I have a user (Windows 2000 environment) who would like to give his colleages
special permission on a folder.

Is it possible to gave a user the following rights...
On a folder: Can't create subfolders.
On a file: Create new files, or change files.
Both: Can't delete files and folders.

I tested a lot today but I can't get the resolution.

Please help!!

Modify gives delete, as its technically the same thing. ie, modifying a
file, is deleting the file then saving it again with the same name and
different contents. So I doubt you'll be able to ahve peopel modify files
but not delete them

Start with "Modify" (not "Full control"); then in Advanced remove "create
folders/append" allowance.
What is wrong then?
